Terms of Service

1. Agreement

These Terms of Service (“Terms”) govern your access to and use of Octopush websites, applications, APIs, and related services (the “Service”). By creating an account, signing in (including with Google), connecting a marketplace shop, or otherwise using Octopush, you agree to these Terms and our Privacy Policy.

If you use Octopush on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. The Service

Octopush helps Philippine sellers centralize product, inventory, and order operations across connected marketplaces such as Shopee, Lazada, and TikTok Shop. Features may include catalog management, stock sync, order visibility and fulfillment actions, shop connection management, reporting, and subscription billing.

We may add, change, or discontinue features. Marketplace availability and capabilities depend on each platform’s APIs, policies, and your shop’s eligibility.

3. Accounts and eligibility

• You must provide accurate registration information and keep it updated.
• You are responsible for activity under your account and for safeguarding credentials and connected shop authorizations.
• You must be legally able to operate an online selling business in your jurisdiction and comply with marketplace seller rules.
• Notify us promptly of unauthorized access at support@octopush.ph.

4. Google Sign-In

If you choose Google Sign-In, your use of Google authentication is also subject to Google’s terms and privacy policy. Octopush receives only the profile information permitted by the OAuth scopes you approve. See our Privacy Policy for how Google data is used under Google’s Limited Use requirements.

5. Marketplace connections

By connecting a Shopee, Lazada, TikTok Shop, or other supported marketplace account, you:

• Authorize Octopush to access and act on shop data through that platform’s official APIs within the permissions granted
• Confirm you have the right to grant that access for the shops you connect
• Agree to each marketplace’s seller, developer, and API terms in addition to these Terms
• Understand that Octopush does not control marketplace downtime, policy changes, rate limits, or listing enforcement

You remain solely responsible for listing accuracy, pricing, inventory truthfulness, order fulfillment, customer service, taxes/fees, and compliance with marketplace and consumer laws.

6. Acceptable use

You agree not to:

• Use the Service for unlawful, fraudulent, or deceptive activity
• Attempt to bypass security, scrape without authorization, or overload our or marketplace systems
• Misuse another seller’s credentials or access shops you do not control
• Reverse engineer the Service except where permitted by law
• Use Octopush to violate marketplace policies or intellectual property rights

We may suspend or terminate access for violations or risk to the Service or other users.

7. Subscriptions and fees

Some features require a paid plan. Fees, billing periods, and renewal terms are shown at purchase or in your billing settings. Unless stated otherwise, subscriptions renew automatically until cancelled. Marketplace platform fees, payment fees, and logistics costs charged by Shopee, Lazada, TikTok Shop, or carriers are separate from Octopush subscription fees.

8. Intellectual property

Octopush and its branding, software, and documentation remain our intellectual property. You retain rights to your product content and business data. You grant us a limited license to host and process that content solely to operate the Service for you.

9. Third-party services

The Service depends on third parties (hosting, payments, email, analytics, and marketplaces). Those services have their own terms. Octopush is not responsible for third-party failures outside our reasonable control.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted sync, perfect inventory accuracy across platforms, or that marketplace actions will always succeed.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OCTOPUSH AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, SALES, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO OCTOPUSH FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.

12. Indemnity

You agree to indemnify and hold harmless Octopush from claims arising out of your use of the Service, your marketplace shops, your products/orders, or your breach of these Terms or applicable law.

13. Termination

You may stop using Octopush and request account closure. We may suspend or terminate the Service or your account for breach, risk, non-payment, or discontinuation of the Service. Provisions that by nature should survive (including IP, disclaimers, liability limits, and indemnity) will survive termination.

14. Governing law

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law rules. Courts in the Philippines will have exclusive jurisdiction, except where applicable law requires otherwise.

15. Changes

We may update these Terms by posting a revised version on this page with an updated date. Continued use after changes constitutes acceptance. If you do not agree, stop using the Service and disconnect marketplace apps.
